Terms of Service

1. Acceptance of Terms

By accessing, registering for, or using Portizly ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms. If you do not agree to these Terms in their entirety, you must not access or use the Service.

2. Description of Service

Portizly is an AI-powered business management platform for small businesses. The Service analyzes connected business systems and email workflows to identify billing issues, surface operational tasks, generate dispute letters, and organize teams around actionable work.

3. Eligibility

You must be:

  • At least 18 years old
  • Capable of forming a binding contract
  • Not prohibited from using the Service under applicable law

4. Account Registration

You agree to provide accurate, current, and complete information during registration and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

You must notify us immediately of any unauthorized access or security breach.

5. Email Access and Permissions

5.1 Consent

By connecting your email account (Gmail, Outlook, or other supported providers), you grant Portizly read-only access to emails that contain financial information (invoices, bills, receipts, subscriptions).

5.2 Scope of Access

We will:

  • Only read emails related to financial transactions
  • Not send emails on your behalf
  • Not access personal or non-financial emails
  • Not share your email content with third parties (except as required for AI processing)

5.3 Revocation

You may revoke email access at any time from your account settings. Revocation will stop future email analysis but will not delete previously processed data.

6. Subscription and Payment

6.1 Free Trial

We offer a 7-day free trial. No credit card is required to start the trial. At the end of the trial, you must subscribe to a paid plan to continue using the Service.

6.2 Subscription Plans

Subscription fees are billed monthly or annually, as selected during signup. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

6.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. You will be charged the then-current subscription rate.

6.4 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access until that date.

6.5 Price Changes

We reserve the right to change subscription prices with at least 30 days' notice. Price changes apply to renewals after the notice period.

7. Acceptable Use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws or regulations
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any portion of the Service
  • Reverse engineer, decompile, or disassemble the Service
  • Use automated tools to access the Service without permission
  • Upload malicious code, viruses, or harmful content
  • Impersonate any person or entity
  • Resell or redistribute the Service without authorization

8. Intellectual Property

The Service, including all content, features, and functionality, is owned by Portizly and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Service for personal or internal business purposes only.

9. AI-Generated Content

The Service uses artificial intelligence to generate dispute letters and identify billing errors. While we strive for accuracy, AI-generated content may contain errors or inaccuracies.

You are solely responsible for reviewing and verifying all AI-generated content before using it. We are not liable for any errors, omissions, or consequences resulting from reliance on AI-generated content.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
  • WE DISCLAIM ALL WARRANTIES REGARDING ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE SERVICE. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS.
  • IN NO EVENT SHALL PORTIZLY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
  • SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Disclaimers

We are not a law firm, accounting firm, or financial advisor and do not provide legal, tax, or investment advice. Dispute letters, reports, and any other content generated by the Service are for informational purposes only and are not a substitute for professional advice. You should consult a qualified attorney, accountant, or financial professional before relying on any output from the Service or taking action that could have legal or financial consequences.

We do not guarantee that billing errors will be identified, that disputes will be resolved, or that you will receive any refunds or recoveries. Outcomes depend on vendor cooperation, the merits of your dispute, applicable law, and factors outside our control. Past results do not guarantee future outcomes.

The Service is a tool to assist you in organizing and analyzing financial communications. You remain solely responsible for your business decisions, communications with third parties, and compliance with all applicable laws.

12. Indemnification

You agree to indemnify, defend, and hold harmless Portizly, its affiliates, and their respective officers, directors, employees, agents, licensors, and successors from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms or any applicable law or regulation
  • Your violation of any third-party right, including intellectual property or privacy rights
  • Your negligence or willful misconduct
  • Any content, data, or materials you provide or that are accessed through your account
  • Any dispute between you and a third party relating to your use of the Service or any output generated by the Service

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with our defense.

13. Termination

We reserve the right to suspend or terminate your account at any time for:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Non-payment of fees
  • Any reason at our sole discretion

Upon termination, your access to the Service will be revoked, and we may delete your data after 30 days.

14. Data Ownership

You retain ownership of your data. By using the Service, you grant us a license to process your data solely for the purpose of providing the Service.

15. Third-Party Services

The Service may integrate with third-party services (Gmail, Outlook, Stripe, OpenAI). We are not responsible for the availability, accuracy, or content of third-party services.

16. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes indicates acceptance of the updated Terms.

17. Governing Law and Venue

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Except as otherwise required by mandatory law in your jurisdiction, the exclusive jurisdiction and venue for any legal action or proceeding arising out of or related to these Terms or the Service shall be the state and federal courts located in the County of San Francisco, California, and you consent to the personal jurisdiction of such courts.

18. Dispute Resolution

18.1 Informal Resolution

Before initiating any formal dispute proceeding, you agree to contact us at support@portizly.com and attempt in good faith to resolve the dispute informally for at least thirty (30) days.

18.2 Binding Arbitration

Any dispute, claim, or controversy that cannot be resolved informally shall be resolved exclusively by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or, for non-consumer users, Commercial Arbitration Rules), as modified by these Terms. The arbitration shall be conducted in English in San Francisco, California (or by video if agreed). The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

18.3 Class Action and Jury Trial Waiver

YOU AND PORTIZLY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. YOU AND PORTIZLY WAIVE ANY RIGHT TO A JURY TRIAL.

18.4 Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property or confidential information. Either party may also bring an individual action in small claims court if the claim qualifies.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' intent.

20. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

21. Assignment and Entire Agreement

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms or our rights and obligations without restriction. Any attempted assignment in violation of this section is void. These Terms, together with the Privacy Policy and any order or subscription terms presented at signup, constitute the entire agreement between you and Portizly regarding the Service and supersede all prior or contemporaneous agreements, proposals, and communications, whether written or oral.

22. Survival

Provisions that by their nature should survive termination shall survive, including without limitation: ownership and intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.
